Name
The name of this organization is the _"St. Cloud Disc Golf
Club" hereafter referred to as SCDG_ [amended January 19, 2002] Central Minnesota Disc Golf Club as voted
by the board in the December 2000 meeting, hereafter referred to as the CMDG.
The name may be changed in an All Member Meeting [see All Member Meeting].
Purpose
The purpose of SCDG is to promote the development of Disc Golf and other disc
activities through organization, cooperation and competition. Organize and
coordinate the efforts of member volunteers to increase the quality and quantity
of disc activities in Central Minnesota. Educate its members and the community
on the benefits and joy of "disc-ing". And to provide information on Disc Golf
and disc related activities.
Membership
Any person who wish to be a part of the Central Minnesota Disc Golf Community
and agrees to support and uphold the SCDG may join. An active membership
requires that the member has paid the current annual dues. All active members
has the right to vote at an All Member Meeting, has the right to hold office and
discounts and other benefits. All former members who are not current with the
club dues will regain their Active Status, with all rights, by paying the
current dues. The yearly membership is from January 1st to December 31st of each
year. Anyone joining on or after the Fall Meeting but before December 31st for
next year's membership will be given full membership privileges for the
remainder of that year and the next year [16 months] and be listed as "member
since XXXX [the year he joined]. For example: If someone would join in October
2001, they would pay the 2002 membership fee. They would receive a 2002
membership card but will have full membership benefits for the remainder of
October, November and December. Their membership would be listed as member since
2001 even though they never receive a 2001 membership card.
Any person who joins before June 1st 2001 shall forever be known as a "Charter
Member" [one of the original members]. Any person who joins on or after June 1st
2001 and on or before December 31st 2001 will be known as "Member since 2001".
Thereafter the member will be known as "Member since XXXX" where XXXX is the
year they joined. If a member becomes inactive for one or more years and
reactivates their membership, they will be known as "Member since XXXX" where
XXXX is the year they first joined.
Officers
Officers are elected at the annual fall meeting by an All Members secret ballet
vote. Write-in vote will not be counted; only votes on a nominated candidate
will be counted. Members, who must be active to run for office, can only
nominate themselves for an office. A member may suggest another player for a
nomination but must be accepted by that member to be considered valid. Current
Officers will be automatically included unless they request to be deleted. The
term limit for an elected office is 3 years. After serving 3 years as an elected
officer, that person must take 1 year off before running for office. The former
officer is free to attend the officer meetings [as all members may] but is not
able to vote.
Officers include:
President
Vice President
Treasurer
Secretary
Public Relations Spokesperson
The President and Vice President will be elected in a single vote where the
candidate with the most votes will be President and the candidate with the
second most votes will be Vice President.
The Treasure and Secretary will each be elected independently
Ties will be decided by a run off election vote to be done immediately and if
any office then remains tied will be decided by a CTP.
The new board will appoint the Public Relations Spokesperson. This will be done
at the Fall Meeting or at the first officer meeting. In that the Public Relation
position is not an elected office and to be able to keep continuity in our
relations with the outside community there is no term limits on that office. The
Public Relations Officers is the voice to the outside community [the president
is the voice inside the Disc Golf community]; therefore the board is free to
appoint a new spokesman at anytime if needed. The Public Relations Spokesperson
will have all voting rights except for voting on an appointment of an officer
Any officers who resigns will have a replacement appointed by the board for the
remainder of the term. If needed, the board may appoint "Officers at Large".
Meetings and Duties of Officers
Board Meetings are to be held monthly or as directed by the President. Votes at
regular scheduled board meetings are decided by a simple majority of those
officers in attendance at the time of the vote. Specially called meeting are
decided by a simple majority of ALL officers [those in attendance and absent].
In either case an officer may vote by proxy or absentee for all known votes.
All Member Meetings will be held each fall and when directed by the President.
The board may also vote to hold an All Member Meeting. All Member Meetings must
be publicly posted for at least 7 days in advance. A public posting must be
clearly posted at any or all of the following: Riverside Park, Calvary Park,
Mill Stream Park, Other Local Disc Golf Courses, Midtown Disc Golf Shop, Other
Disc Golf Shops, www.midtowncoffee.com
and/or http://groups.yahoo.com/group/StCloudDiscGolf.
Only items listed on public posting may be voted on. Votes at All member
meetings are decided by a simple majority of attending active members except
bylaws changes which needs a 2/3 majority vote of attending members.
Most day to day decisions will be decided by a vote of the officers but they may
choose to put decisions to an All Members vote. Any additions or changes in the
SCDG bylaws, SCDG name change and elections of Officers MUST be put to an All
Members vote.
Absentee and proxy votes will be allowed at both Board and All Member Meetings.
All Members Meetings are open to all but only active members may vote. Board
meetings are open to all active members and other invited guests but only
officers are allowed to vote. Visitors planning on attending board meetings are
highly encouraged to call the meeting host beforehand.
Disband
Should the SCDG be dissolved, all material possessions of the organization must
be sold and the moneys obtained from the sale divided equally among all active
members after all bills have been paid. The board, if still intact, may
otherwise choose to donate any or all possessions to another Disc Golf club,
organization, park or worthy group.
